These terms and conditions form an integral part of the agreement between White Room Studio Pte Ltd (the “Studio”) and the company, organisation or individual engaging its services (the “Client”). By confirming a booking and making payment to the Studio, the Client agrees to be bound by these terms. The term “Studio” refers to White Room Studio Pte Ltd, its photographers and employees. The term “Shoot” refers to any corporate, commercial, headshot, team or brand photography session commissioned by the Client. No variation to these terms is effective unless agreed in writing by the Studio.
CORPORATE TERMS & CONDITIONS
Payment Terms
A 50% deposit is payable upon booking to confirm the Shoot date, with the balance due upon delivery of the completed images or products. The Studio accepts company purchase orders and is a registered vendor on Ariba, Tenderboard and Vendors@Gov. All fees are subject to prevailing GST. For any payment outstanding more than two weeks after the invoice date, the Studio reserves the right to levy interest of 12% per annum on the overdue amount.
Copyright & Usage Rights
In accordance with the Singapore Copyright Act 2021, copyright in all photographs remains with the Studio as the creator. Upon full payment, the Studio grants the Client a perpetual, worldwide, non-exclusive licence to use the commissioned photographs for the Client’s own business purposes, including websites, social media, marketing, advertising, internal and corporate communications. The Client may not resell the photographs or licence them to third parties for commercial gain without the Studio’s written consent. A full assignment of copyright is available by separate written agreement.
Studio’s Right to Display Work
The Studio may use photographs from the Shoot in its portfolio, website, social media and marketing to promote its services. If the Client does not wish for its photographs to be used in this way, the Client need only inform the Studio in writing and the Studio will respect that request. The Studio will not publish any images known to contain confidential or unreleased material without the Client’s prior approval.
Cancellation & Rescheduling
Deposits are non-refundable, as they secure the Shoot date and the Studio’s resources. The Studio will, where possible, accommodate rescheduling if notified in writing at least three working days before the Shoot, so that the timeslot may be reallocated. Retouched images that have already been completed cannot be cancelled or exchanged, though where a retouched image is intended for a physical product it may be swapped at the Client’s request, with the original retouched image charged as an additional item.
Lateness
The Studio will accommodate where possible if the Client or subjects arrive late. However, where the session period cannot be extended, the Shoot will be conducted within the scheduled time, which may result in fewer photographs taken.
Substitution of Photographer
In the unlikely event that a photographer is unable to perform due to illness or a scheduling conflict, the Studio may substitute another photographer. The Studio warrants that any substitute will be a competent professional.
Additional Work
If additional shots, editing beyond basic retouching, or any change to the agreed brief is required, additional charges may apply. The Studio will inform the Client of such charges and any impact on timelines, and is not obliged to carry out the additional work until written agreement on the charges is reached.
Limit of Liability
The Studio will make every effort to provide high-quality photographic services. If the Studio is unable to perform due to fire, casualty, act of God, illness or other cause beyond its control, it will return the deposit and shall have no further liability. Where the Studio fails to perform for any other reason, a reshoot will be arranged at the earliest mutually available date. The Studio’s total liability under any engagement shall not exceed the fees paid for that engagement. The Studio shall not be liable for any indirect or consequential loss, nor for any loss, damage or personal injury suffered by the Client or any person attending the Shoot, whether in the Studio or on location.
Client’s Indemnity
The Client shall indemnify the Studio for any loss or damage to the Studio’s premises, fixtures, equipment or property caused by the Client or any person attending the Shoot. Where the Shoot involves the Client’s employees or other individuals, the Client confirms it has obtained the necessary consent from those individuals to be photographed for the agreed purposes.
Privacy & Personal Data
The Studio collects and uses personal data, such as names, contact details and photographs, only to provide its services, manage the engagement, process payment and respond to enquiries, in accordance with the Personal Data Protection Act (PDPA). The Studio does not sell personal data. You may request access to, correction of, or withdrawal of consent for your personal data by writing to corporate@whiteroomstudio.com.sg, and the Studio will respond within a reasonable time.
General
These terms represent the entire agreement between the parties. Any waiver of a breach shall not be deemed a waiver of any subsequent breach. These terms are deemed accepted once the Shoot is carried out, even if no separate agreement has been signed. These terms are governed by the laws of Singapore.
